準拠法条項

準拠法に関する条項といえば、“This Agreement shall be governed by the laws of .....”だというのが常識だと思っていたが、“The laws of ... govern all matters with respect to this Agreement.”が正解らしい。

あと、“shall have the right to”は“may”でよいらしい。これは前から“may”の方がすっきりすると思っていたのでよし。“shall have the right to”は「○○できるものとする」みたいなもんですな。
