Take-Home Examination

Business Law/Corporations (Mr. Presser)

November 28, 2007

This is an open-book exam. You may consult virtually anything except another human being when you are writing your exam, although you are free to discuss the take-home with others before you write it. Your work, however, must be your own, and not someone else’s. Your grade on the exam will be dependent on your demonstrating how well you have mastered the materials you have been taught in the course, and so your notes from class, your outlines of the course, and your casebook are your most useful references. Do not do outside research. Do not cut and paste previously-prepared materials. You should write no more than ten double-spaced pages for this exam, exclusive of a title page. Use 12-point type. You are not expected to spend an extraordinary amount of time on the exam, and, in particular, you should not need much more than the two hours that will be given to those who decide to take the sit-down final. Choose two questions to write on.

You may return your take-home to Professor Presser at any time before the beginning of the sit-down final two weeks from this evening (Wednesday, December 12). If you choose to return it before the sit-down, please place it in Professor Presser’s mailbox in the Dean’s Suite at the Law School, 375 Chicago Ave., 2nd floor. Hard copy is very much preferable, but if this is absolutely impossible for you because you must be out of town, please E-mail your completed exam to

xxxxxx@xxxx.xxxxxxxx.edu no later than 5:00 p.m., December 12. E-mail only as a last resort. Please use either Word or Wordperfect if you E-mail the exam. Please also reproduce the exam in the body of your E-mail, as well as in an attachment. In any event, make a duplicate copy of your exam, and keep it. There should be a title page for your take-home exam, which should contain your name. Do not place your name on any other page.

Question One

Would it be wise to replace our current system which allows large publically-held corporations to incorporate in one of the fifty states, with a system of federal incorporation?
